Fintech giant Infibeam Avenues has approved the transfer of its ecommerce platform on a slump sale basis to its subsidiary Rediff.com for a valuation of INR 800.39 Cr.

The company approved signing a Business Transfer Agreement with Rediff.com.

Post transaction, Infibeam will increase its stake in Rediff.com from 54.1% to 80%.

As per the company, its ecommerce SaaS platform fits well with Rediff.com’s existing service suite, including Rediffmail (enterprise email), RediffPay (digital payments) and RediffOne (enterprise business suite). Meanwhile, Infibeam will focus more on scaling its digital payment gateway, CCAvenue and its AI infrastructure services under Phronetic.ai.

“The move allows Infibeam to focus on scaling CCAvenue and Phronetic.ai, while Rediff.com accelerates as a SaaS-led enterprise and media platform,” the company added.

Of the INR 800.39 Cr, Infibeam will issue fresh equity shares worth INR 400 Cr and the remaining INR 400 Cr in cash.

The  transaction is expected in the next 60 days.

As per the company, the ecommerce platform recorded a turnover of INR 180.2 Cr, accounting for 4.83% of Infibeam’s total turnover in the financial year ended in March 2025. Meanwhile, its net worth stood at INR 621.2 Cr in the fiscal year under review.

Infibeam reported a 15% decline in its consolidated profit after tax (PAT) to INR 58.4 Cr in the first quarter of the ongoing fiscal year 2026 (Q1 FY26) from INR 69.4 Cr in the year-ago quarter.  

Its operating revenue for the quarter under review increased 72% to INR 1,280.2 Cr from INR 745 Cr in the year-ago quarter.

In June, the fintech giant raised INR 700 Cr via a rights issue to strengthen its AI footprint by investing in its subsidiaries Infibeam Projects, AI arm Nueromind Technologies, and Reddif. Furthermore, it is also eyeing more acquisitions in the future.

Besides AI, Infibeam is bullish on investing in Rediff. During its earnings call, Infibeam said that out of these fresh funds, it is looking to pour in INR 87.7 Cr in Rediff to expand its digital and payments ecosystem. 

Rediff recently got a third-party application provider (TPAP) licence from the National Payments Corporation of India (NPCI) for its digital payment platform RediffPay.
